1. Acceptance of Terms

By accessing or using the Scanely service at scanely.io (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and Scanely ("we", "us", or "our"). We reserve the right to update these Terms at any time, and your continued use of the Service following any changes constitutes acceptance of the revised Terms.

2. Description of Service

Scanely is a software-as-a-service (SaaS) platform that enables users to create dynamic QR codes and track scan analytics. The Service includes QR code generation, URL redirection, scan data collection (geographic location, device information, browser, operating system, and referrer), and analytics dashboards.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify users of significant changes.

3. User Accounts

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your password and account credentials
  • Notify us immediately of any unauthorised access to your account
  • Accept responsibility for all activities that occur under your account

You must be at least 16 years of age to create an account and use the Service. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Distribute malware, phishing links, or other malicious content
  • Send spam or engage in any form of unsolicited bulk communication
  • Attempt to gain unauthorised access to the Service, other accounts, or related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Scrape, crawl, or use automated means to access the Service without our prior written consent
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Link to content that is illegal, fraudulent, defamatory, obscene, or otherwise objectionable

We reserve the right to investigate and take appropriate action against anyone who violates these provisions, including removing QR codes, suspending accounts, and reporting violations to law enforcement authorities.

5. QR Codes and Linked Content

You are solely responsible for the content you link to via QR codes created through the Service. Scanely does not monitor, endorse, or assume liability for any third-party content accessible through QR codes generated on our platform.

You represent and warrant that you have the right to link to the destination URLs you configure, and that the linked content does not infringe on the intellectual property rights of any third party or violate any applicable laws.

We reserve the right to disable or remove any QR code that we determine, in our sole discretion, links to content that violates these Terms or applicable law.

6. Payment Terms

6.1 Subscriptions

Paid plans are billed on a monthly recurring basis. By subscribing to a paid plan, you authorise us to charge your payment method on each billing cycle. Subscriptions automatically renew unless cancelled before the next billing date.

You may cancel your subscription at any time from your account dashboard. Upon cancellation, you will retain access to paid features until the end of your current billing period. After that, your account will revert to the Free plan.

6.2 Lifetime Deals

Lifetime deals grant you perpetual access to the features and limits specified at the time of purchase. Lifetime deals are subject to the scan limits defined in the plan tier you purchase. "Lifetime" refers to the lifetime of the Service, not the lifetime of the purchaser.

6.3 Refunds

We offer a 14-day refund policy for all paid plans and lifetime deals. If you are not satisfied with the Service, you may request a full refund within 14 days of your purchase by contacting us at [email protected]. Refunds after this period are granted at our sole discretion.

6.4 Payment Processing

All payments are processed securely through Stripe. We do not store your credit card information on our servers. By making a purchase, you also agree to Stripe's Terms of Service.

7. Intellectual Property

The Service, including its original content, features, functionality, design, and branding, is and will remain the exclusive property of Scanely. The Service is protected by copyright, trademark, and other intellectual property laws.

You retain all rights to the content you link to through QR codes. We do not claim ownership over your URLs or destination content. By using the Service, you grant us a limited licence to process and redirect traffic through your QR codes as necessary to provide the Service.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Scanely and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Service.

Our total liability for any claims arising under these Terms shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim.

The Service is provided on an "as is" and "as available" basis. While we strive for high availability, we do not guarantee uninterrupted, error-free, or secure access to the Service. We do not provide a formal uptime service-level agreement (SLA). QR code redirects depend on third-party infrastructure, and we shall not be liable for outages caused by factors outside our reasonable control.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

You may terminate your account at any time by deleting it from your account settings or by contacting us at [email protected]. Upon termination, your right to use the Service will cease immediately, and your QR codes will stop redirecting.

Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, limitation of liability, and governing law.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Poland and applicable European Union law, without regard to conflict of law principles.

Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Poland. If you are a consumer residing in the EU, you may also bring proceedings in the courts of your country of residence in accordance with applicable consumer protection laws.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. We will make reasonable efforts to notify you of material changes by email or through a prominent notice on the Service.

Your continued use of the Service after any modifications to these Terms constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.
